Terms of Service
These Terms of Service (“Terms”) are a binding agreement between you and FitNeo (“FitNeo,” “we,” “us,” or “our”) and govern your access to and use of our website, applications, and related services (the “Services”). By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility & accounts
You must be old enough to form a binding contract and meet any minimum age required by applicable law to use the Services. You are responsible for the activity that happens through your account and for keeping your sign-in secure. The information you provide must be accurate and current. We may refuse, suspend, or terminate accounts at our discretion.
2. The Services
FitNeo is a community platform for discovering and reviewing fitness and movement instructors, studios, and related businesses. We provide the platform “as is” and may add, change, or remove features at any time. We do not endorse, and are not responsible for, any instructor, studio, class, or third party listed on or linked from the Services.
3. User content
You are responsible for the reviews, ratings, photos, profile details, and other content you submit (“User Content”). You represent that you have the rights to submit it and that it is accurate, based on your genuine experience, and does not violate these Terms or any law.
By submitting User Content, you grant FitNeo a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, use, reproduce, modify, adapt, publish, translate, distribute, publicly display, and otherwise exploit that content in connection with operating, promoting, and improving the Services and our business, across any media. This license continues even if you stop using the Services, to the extent your content has been shared with others or retained as permitted by our Privacy Policy.
4. Reviews & community rules
Reviews must reflect a genuine, first-hand experience. You agree not to post content that is false, misleading, defamatory, harassing, hateful, obscene, infringing, or otherwise unlawful; to submit fake, incentivized, or conflicted reviews; to impersonate others; or to manipulate ratings, votes, leaderboards, or rankings. We may moderate, edit, remove, or refuse any content, and may remove or adjust rankings, at our discretion.
5. Acceptable use
You agree not to misuse the Services, including by: violating any law or the rights of others; accessing the Services through automated means or scraping without our permission; interfering with or disrupting the Services or their security; attempting to gain unauthorized access; uploading malicious code; or collecting information about others without consent.
6. Claiming a profile
Instructors and studios may claim their profile by submitting the requested information. We verify claims at our discretion and may approve, reject, or revoke a claim. Claiming a profile does not give you ownership of reviews or other content others have submitted, and does not entitle you to remove genuine reviews.
7. Tokens, purchases & payments
Certain features use tokens or paid credits. Tokens have no cash value, are not redeemable for money, and are non-transferable except as we expressly allow. Purchases are processed by our third-party payment provider; by purchasing you authorize the applicable charges. Except where required by law, payments and tokens are non-refundable. We may change pricing, token mechanics, and availability at any time.
8. Intellectual property
The Services, including their design, software, text, graphics, and logos (other than User Content), are owned by FitNeo or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not copy, modify, distribute, sell, or create derivative works from the Services except as permitted by these Terms.
9. Third-party links & services
The Services may link to or rely on third-party sites and services we do not control. We are not responsible for their content, products, or practices, and your use of them is at your own risk and subject to their terms.
10. Disclaimers
THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that reviews and other content are accurate, reliable, or complete.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RATEMYREFORMER AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS.
12. Indemnification
You agree to indemnify and hold harmless FitNeo and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your use of the Services, or your violation of these Terms or any law or third-party right.
13. Termination
You may stop using the Services at any time. We may suspend or terminate your access at any time, with or without notice, including for violations of these Terms. Provisions that by their nature should survive termination will survive.
14. Changes to the Services or Terms
We may modify the Services or these Terms at any time. If we make material changes to these Terms, we will update the date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect means you accept the revised Terms.
15. Governing law & disputes
These Terms are governed by the laws applicable where FitNeo is established, without regard to conflict-of-laws rules. You agree to resolve disputes in the courts located there, unless applicable law requires otherwise.
